Terms and Conditions of Sale of Products
These Terms and Conditions are effective from 1st May 2004 until further notice and apply to all purchases of goods and services from Octopus Systems.
1. Parties and Definitions
"We", "Us" or "Our" means Octopus Systems who is the seller of products and/or services. Our office is at Octopus Systems
2. Distance Selling Regulations for UK Consumers (not applicable to trade and business customers)
Under the United Kingdom's Distance Selling Regulations, UK consumers, buying for purposes not related to trade, business or profession have the right to cancel the contract for the purchase of any of items within a period of 7 working days, beginning with the day after the day on which the item is delivered. This applies to all products supplied except computer software. Please note that we are unable to accept cancellation of, or returns for, digital items once downloading has commenced. If you are returning an item because of an error on our part or because it is defective, we will be happy to refund the delivery charges incurred in sending the item to you and your costs in returning it to us. Postage and packing charges will not be refunded if you are withdrawing from your purchase within the seven working days cooling-off period. We may refuse to refund the product price or deduct an appropriate amount from the refunded amount if the products returned have been damaged or used, or any components, included products, accessories, documents and/or other items of the order, apart from packaging are damaged or missing.
3. Changes to Our Terms and Conditions
We may amend these Terms and Conditions from time to time. New orders will be subject to any revised Terms and Conditions. However, contracts concluded on the basis of previous terms and conditions remain unaffected.
We may revise prices for products listed on our Web Sites at any time. A price remains valid only for the duration of the day of your visit to our Web Site or the day on which you telephone us. Any incorrect prices on our Web Sites shall be void and of no effect. If you place an order for incorrectly priced products, the correct price will be notified to you and, if you wish to continue with the order, substituted in place of the incorrect price.
VAT will be charged at 20% for all goods and services delivered within the EU, except books and certain second-hand items. Orders outside the EU may attract local duty and other local taxes, levies or charges.
6. Terms of Payment
We accepts payment by cheque (drawn on a UK bank) or bank transfer to our bank account (details are provided on our Web Site). We cannot accept credit cards at present.
Delivery charges within the UK mainland (excluding the Scottish highlands) are displayed on our Web Site. Charges to other destinations will be subject to additional charges available upon request.
8. Software Licences
All software, including pre-loaded software contained in hardware products, is licensed to you subject to the relevant software end-user licence agreement or other terms included with the software and/or with the product. Software may not be disassembled, decompiled, reverse engineered, merged or combined with any other software, copied, translated, adapted, varied or modified (save as expressly permitted by applicable law) nor may it be distributed in any form. Where individual software licence terms are not supplied, such as pre-installed software on the hard drive of a computer, the software is licensed on a non-exclusive, non-transferable, single user basis for use only with the accompanying product. If you do not accept the terms of any applicable software licence you should return the products unused and "as new" within 7 days.
9. Your Acceptance of Products
Please check your delivery as soon as possible and notify us of any deficiency or defects immediately.
10. Retention of title
Title to and property in the goods shall remain vested in Octopus Systems (notwithstanding their delivery and the passing of the risk therein to the buyer) until the price of the goods has been paid, discharged or satisfied in full. Until title to and property in the goods pass to the buyer we may at any time without prior notice to the buyer repossess and resell such of the goods as are capable of being repossessed if any sum due to us from the buyer is not paid on the due date of payment.
11. Statutory Rights
These Terms and Conditions do not affect your statutory rights.
